Sale Procedures

Buyer is advised that supply of gold per buyer will not be more than 100 Kgs:

  • SPA is sent to Buyer and the Seller to officially kickstart the long-term Business relationship.
  • The Buyer shall review the same in the company of his Lawyers and Financial Experts to ensure that the sale Contract is doable.
  • Parties shall call each other for a meet and greet session then proceed to clear any ambiguities as regards the impending sale.
  • As per the Kenya Customs Laws, the Buyer and the Seller shall contact a preferred International Airline that they will want to use to transport the cargo to destination. In our case, we only prefer Emirates Airline for a simple reason that United Arabs Emirates (UAE) respects the African Mine worker.   • Going back to Kenya Customs Export Laws, the Buyer, being the main Consignee, MUST submit his/her valid passport, plus all other official legal trade documents and Anti-Money Laundering/Combating Financing of Terrorism (AML/CFT) such as GoAML registration details to Emirates Kenya Booking Office for Authentication, Confirmation, Attestation and Notarization within the juridisction of the Republic of Kenya being the exporting Country. Notarization of Export Processing documents cannot happen in any other country other than Kenya. Moreover, noting that Emirates is Not a Notary Public and Commisionner of Legal documents, the Airline shall recommend local Kenyan Lawyers with active Law Society of Kenya (LSK) practicing licences from their External Legal Consultants’ Database/Panel. Accordingly, the parties shall request the Airline to suggest/recommend two separate lawyers to handle the Notary Procedures for the Consignor and Consignee respectively. The Notary exercise shall happen in Kenya and not anywhere else.     BUYERS MUST BE AWARE, THAT LEGAL SERVICES CHARGES FOR THE NOTARY AND COMMISIONING OF HIS/HER DOCUMENTS WILL NOT BE PAID BY THE SELLER BECAUSE THATS A PERSONAL MATTER NOT A CIF PROCEDURE. LET THE BUYER PAY FOR HIS/HER LAWYER’S FEE NOTE DIRECTLY IN THE VERY WAY THE CONSIGNOR SHALL PAY FOR AUTHENTICATION/NOTERY OF CONSIGNOR’S LEGAL DOCUMENTS WITHOUT DEMANDING PAYMENT FROM THE BUYER. EACH PARTY TO PAY THEIR OWN BILL.
  • Emirates shall sign Form 92(K) issued by Customs Processing Office to affirm their willingness to transport the cargo to the Consignee.
  • The Buyer is under obligation to send to Kenya Customs Clearing Agent Notarized Authenticated Documents to facilitate production of verifiable Export Documents in the name of Consignee.
  • Unique reference codes will be issued by the Customs to each party.
  • The Seller shall pay taxes, insurance, and all charges in Africa in full as per the agreement’s Cost, Insurance, and Freight (CIF)/Carriage, Insurance Paid (CIP) being terms of the deal. No upfront fees shall be paid by the Buyer other than the Notary fees paid directly to the Lawyers who must be Notary Public Practicing Advocates in Kenya. Each party shall pay for the Notary charges distinctively, not jointly.
  • Customs shall produce Export Documents and forward the same to the Buyer who will independently review the said Legal Documents to authenticate and confirm that all is good for loading as well as take off.
  • The Bonded Warehouse shall prepare the Consignment for export. The Customs shall permit the export. The Consignor shall consign the Consignment to the Consignee. The Cargo Handler shall hand over the Consignment to the Airline. The Airline shall assume the responsibility of safety and security of the Consignment during the actual flight to destination. Finally, upon arrival, the Consignment shall be placed in the custody of destination Customs in readiness for clearance of the same after payment of import duties (If any). The Consignee shall proceed to do his job in a transparent legal manner.
  • Seller shall load the Consignment thereafter fly to the Buyer’s destination.
  • Buyer shall take over at destination and pay all charges, including Assay fees and final payment of the agreed Purchase Price.
  • The Seller shall hand over the Ownership title of the Gold after being paid the purchase price in full by the Buyer.

NOTE TO BUYER: Just simply follow the link: Emirates Kenya Office to contact them (Cargo Booking and Ticketing Office) with a view to having his/her Passport and other legal import documents authenticated and notarized. Without this process, Kenya Customs will not move to consign the goods to the Consignee. The Airline will also not hand over the cargo to destination airport customs because of lack of authentication at the departing country – Kenya.
